Terms of Service

These Terms of Service ("Terms") govern the relationship between RELEAZ (a trading name of Digital Motive Ltd, a company registered in England and Wales with company number 14651724, whose registered office is at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom) ("Digital Motive," "we," "us," or "our") and each person or entity that accesses or uses the RELEAZ platform (the "Platform").

By creating an account, accessing a Client portal, or otherwise using the Platform, you agree to these Terms and to our Privacy Policy and Cookie Policy.

1. Definitions

  • User or Creator: a professional, studio, or organisation that creates projects and Client portals.
  • Client or Payer: a person invited to preview, approve, and, where applicable, pay for a Milestone.
  • Milestone: a defined unit of delivery and, where enabled, payment within a project.
  • Fair Exchange: the Platform protocol whereby watermarked or otherwise restricted preview access precedes release of downloadable assets, and release is synchronised with confirmed Milestone payment where payment is required.

2. The Platform and Fair Exchange

RELEAZ is a secure milestone-release platform. Creators upload or attach professional deliverables; Clients review previews through a secure portal; approval and payment (where required) trigger technical release of files. The Platform is designed around Fair Exchange: pending approval and release, followed by Released status upon successful completion of the applicable payment or free-release configuration.

Digital Motive provides software and infrastructure. We do not practise as solicitors, accountants, or escrow agents for Creators or Clients.

3. Role as Technical Facilitator (Non-Escrow)

Digital Motive acts solely as a Technical Facilitator. We provide technical synchronisation between payment confirmation (via certified payment orchestrators) and asset release mechanisms on the Platform.

We do not act as an escrow agent, fiduciary, trustee, or legal representative for either party. We do not hold Client funds in advance of Milestone payment. Where payment is collected, funds are processed to the Creator's connected merchant account under the Merchant of Record arrangements of the certified payment orchestrator. Digital Motive may collect Platform service fees as described below; such fees are for technical delivery infrastructure, not for custody of Client funds.

4. Milestone Release and Intellectual Property

Unless otherwise agreed in writing between the User (Creator) and the Client (Payer), intellectual property rights in digital assets uploaded or linked through the Platform remain with the User until the Client fulfils the payment obligations for the relevant Milestone through the Platform's technical release mechanism (or until the User configures a Milestone as not requiring payment and completes release accordingly).

Confirmation of payment through the Platform does not itself transfer ownership unless and to the extent the Creator's separate agreement with the Client so provides. Creators remain responsible for their contractual terms with Clients regarding licence, ownership, and scope.

5. Accounts and Acceptable Use

Creators must provide accurate account information and maintain the security of credentials. You must not use the Platform to distribute unlawful content, infringe third-party rights, harass others, evade payment obligations for deliverables, or interfere with Platform security. We may suspend or terminate access for breach of these Terms.

6. Payments and Platform Fees

Milestone payments are processed by certified payment orchestrators. The Creator's connected merchant account is typically the Merchant of Record for Client charges. Creators are responsible for tax, invoicing, and compliance obligations arising from their sales.

On the Starter plan, Digital Motive charges a localized flat Platform fee per successful transaction (GBP £2 · USD $3 · EUR €2.50 · AUD A$4 · SGD S$3.50 · CAD C$4; Localized flat fees starting at £2 / $3). Other plans may apply different fees as published on the Platform. Card and payout processing fees charged by the payment orchestrator are borne by the Creator as configured with that provider. Platform service fees are non-refundable upon successful initiation of a covered transaction, except where required by mandatory law.

7. Cloud Integrations

Optional Google Drive and Dropbox integrations are subject to those providers' terms and to our Privacy Policy, including Google API Limited Use requirements. Creators must have rights to the files they select. Revoking integration access may prevent preview and release of assets sourced from that connection.

8. Availability and Disclaimers

The Platform is provided on an "as is" and "as available" basis. We do not warrant uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, Digital Motive shall not be liable for disputes between Creators and Clients, delayed or failed payouts by payment orchestrators, or loss of data beyond what is reasonably preventable through our managed infrastructure partners. Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or other liability that cannot be excluded under English law.

10. Termination

You may delete your Creator account from Platform settings. We may terminate or suspend access for material breach. Upon termination, active portals and stored deliverables may be removed subject to any published retention windows and legal retention duties.

11. Changes

We may amend these Terms by posting an updated version on the Platform. Continued use after the effective date constitutes acceptance, except where mandatory law requires additional consent.

12. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.
